Terms of Service

1. Acceptance

By purchasing the AI Performance & MLOps Platform on Microsoft Azure Marketplace, you agree to these terms in addition to the Microsoft Customer Agreement and the Microsoft Marketplace Terms.

2. Subscription and billing

Subscriptions are sold and billed exclusively through Azure Marketplace on a per-user (seat-based) model. Microsoft bills the plan's per-user monthly price multiplied by the seat quantity you choose at purchase. You can change the seat count from the Azure portal at any time; charges are prorated for the billing period.

3. Acceptable use

• No reverse-engineering, resale, or rebranding without a written agreement.
• No use to monitor systems you don't own or aren't authorized to monitor.
• No uploading of personal data of EU/UK data subjects beyond what is needed to operate the service.

4. SLA

The Premium plan targets 99.9% monthly uptime for the API control plane. Service credits are issued as detailed in your plan's service-level agreement.

5. Termination

You may cancel at any time through the Azure portal; access ends at the end of the paid period. We may suspend the service for non-payment, abuse, or breach of these terms with notice as required by Marketplace policy.

6. Liability

Our aggregate liability is capped at fees paid in the 12 months preceding the claim. Neither party is liable for indirect or consequential damages.

7. Governing law

These terms are governed by the laws of the State of Washington, USA, excluding its conflict-of-law rules.

8. Publisher

Software publisher: Intellnet, registered in the People's Republic of China. All Marketplace transactions are processed by Microsoft under the Microsoft Commercial Marketplace Standard Contract; these Terms supplement, and do not replace, that agreement.
